WayPAY is a service of OMNIWARE APS, CVR: 45896706, Denmark.

1. Quick Summary

What is WayPAY?
WayPAY is an online platform that helps businesses receive bookings and payments from their customers. Payments are processed via external payment providers (for example Stripe or similar services).

Who is involved in a purchase?
There are three parties:
1. Customer – buys a product or service.
2. Business/Merchant – sells the product or service.
3. WayPAY / OMNIWARE APS – provides the technical platform and payment infrastructure.

The agreement about the product or service is only between the Business and the Customer, not with WayPAY.

What is WayPAY responsible for?
• Running the platform and connecting Businesses and Customers.
• Passing payment information to the payment provider and back again.
• Providing tools for invoices, receipts and booking management.

What is WayPAY NOT responsible for?
• The quality, delivery, or content of the products or services that Businesses sell.
• Any disputes, complaints, or refunds between a Business and a Customer about the service itself.
• Business tax reporting, legal compliance, or pricing.

All such issues are strictly between the Business and the Customer.

2. Accounts & Security

  • You must provide correct information when creating an account.
  • You are responsible for keeping your login secure.
  • Anything that happens in your account is your responsibility, so keep your password safe.

3. Fees & Pricing

  • WayPAY charges Businesses an 8% fee on successful payments.
  • No monthly subscription or setup fee from WayPAY (unless agreed separately).
  • Payment providers may also charge additional fees (card fees, currency exchange, chargebacks, etc.).

4. Payouts, Refunds & Chargebacks

  • Payout timing depends on the payment provider and can be delayed if there is suspected fraud, chargebacks or technical issues.
  • Refunds are decided and handled by the Business, not by WayPAY.
  • Chargebacks (when a customer disputes a card payment) are handled between the Business and the payment provider. Any fees are normally paid by the Business.

5. Data & Privacy

  • WayPAY handles personal data according to its Privacy Policy.
  • Each Business is also responsible for its own privacy obligations towards its Customers (for example under GDPR).

6. Prohibited Activities

You may not use WayPAY for:
• Illegal or fraudulent activities.
• Selling prohibited or high-risk products/services.
• Hacking, abusing or overloading the system.
• Pretending to be someone else or misusing other people's data.

7. WayPAY's Role (Legal)

1. WayPAY is a technical platform that facilitates booking, payment processing, and invoicing between Businesses and their Customers.
2. WayPAY is not a bank, payment institution, or financial advisor. Payment processing is provided by one or more independent third-party Payment Providers.
3. Except where explicitly stated otherwise in writing, WayPAY is not a party to the contract between a Business and a Customer.
4. We do not control, endorse, or guarantee:
• The existence, quality, safety, legality, or suitability of any product or service offered by a Business;
• The truth or accuracy of listings, descriptions, prices, or other content provided by Businesses; or
• That a Business or Customer will actually fulfil their obligations under any agreement between them.

8. Relationship Between Businesses and Customers

1. All agreements, obligations, and disputes concerning the products, services, and overall relationship between a Business and a Customer are solely between the Business and the Customer.
2. WayPAY only facilitates the technical processing of bookings and payments between the parties and assumes no responsibility for:
• The performance, quality, or outcome of the products or services provided by the Business;
• Any delays, cancellations, defects, or failures in the Business's performance;
• Any communication or relationship issues between Business and Customer.
3. Businesses are solely responsible for handling complaints, cancellations, refunds, and customer support relating to their own products and services.
4. Customers understand and agree that any claims relating to the product or service itself must be directed against the Business and not against WayPAY.

9. Fees & Payments (Legal)

  1. WayPAY charges Businesses a transaction fee of 8% (eight percent) on successful payments processed through the Platform, unless otherwise agreed in writing.
  2. There are no monthly subscription fees or setup costs charged by WayPAY, unless clearly stated in a separate agreement.
  3. Additional fees may be charged by Payment Providers, banks, or card networks.
  4. Fees are typically deducted automatically from each successful payment before funds are settled to the Business.
  5. Businesses are responsible for setting prices, taxes, and ensuring compliance with applicable consumer and advertising laws.

10. Payouts, Refunds & Chargebacks (Legal)

Payouts to Businesses:
Payout schedules, minimum payout amounts, and currencies depend on the Payment Provider and may differ by region. Payouts may be delayed or withheld in cases of suspected fraud, chargebacks, regulatory requirements, or technical issues.

Refunds:
The Business is solely responsible for its own refund policy and for issuing refunds to Customers when required by law or agreed in its own terms. WayPAY may technically facilitate refunds via the Payment Provider but does not decide whether a refund is due.

Chargebacks and Disputes:
If a Customer disputes a payment with their card issuer or bank (chargeback), the Business is responsible for responding to and handling that dispute. Any chargeback fees or losses imposed by the Payment Provider may be passed on to the Business.

11. Taxes

  1. Businesses are solely responsible for determining, collecting, reporting, and paying any and all taxes, VAT, duties, and other governmental charges associated with their use of WayPAY and their sales to Customers.
  2. WayPAY does not provide tax or accounting advice.

12. Data Protection & Privacy

  1. Our collection and use of personal data are governed by our Privacy Policy, which is incorporated into these Terms by reference.
  2. You agree to comply with applicable data protection laws (such as GDPR in the EU/EEA) when using WayPAY, especially if you are a Business processing personal data of Customers.
  3. Businesses act as independent data controllers for Customer data they collect via WayPAY and are responsible for providing their own privacy notices to Customers.

13. Intellectual Property

  1. All rights, title, and interest in and to WayPAY, including software, logos, trademarks, designs, and content are owned by us or our licensors.
  2. We grant you a limited, non-exclusive, non-transferable, revocable license to use WayPAY for your own internal business or personal purposes.
  3. You may not copy, modify, distribute, sell, or lease any part of WayPAY, nor may you reverse engineer or attempt to extract the source code.

14. Disclaimers

  1. WayPAY is provided on an "as is" and "as available" basis, without any warranties of any kind.
  2. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of dealing.
  3. We do not warrant that WayPAY will be uninterrupted, secure, or free from errors, viruses, or other harmful components.
  4. We make no warranty or guarantee regarding any product or service offered by a Business through WayPAY.

15. Limitation of Liability

To the maximum extent permitted by law, WayPAY, OMNIWARE APS, and their owners, directors, employees, and affiliates will not be liable for:
• Any indirect, incidental, special, consequential, or punitive damages;
• Any loss of profits, revenue, data, goodwill, or business opportunities;
• Any disputes, claims, or damages arising out of or related to the relationship between a Business and a Customer.

Our total aggregate liability is limited to the total fees paid by you to WayPAY in the 3 months immediately preceding the event giving rise to the claim.

16. Governing Law & Jurisdiction

  1. These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict-of-law rules.
  2. The competent courts in or nearest to Copenhagen, Denmark shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.
